HUB4AI S.R.L – TERMS AND CONDITIONS

PLEASE READ THESE TERMS AND CONDITIONS (“Terms”) CAREFULLY BEFORE USING ANY SERVICES OFFERED BY HUB4AI S.R.L (“HUB4AI”, “we”, “our” or “us”). BY ACCESSING OR USING OUR SOFTWARE AS A SERVICE (SaaS) PRODUCT, INCLUDING BUT NOT LIMITED TO THE CHAT, AI RESEARCHER, MEMORY BOX, AND OFFICE ADD-INS (COLLECTIVELY, THE “SERVICES”), YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE WITH THESE TERMS, PLEASE DO NOT USE OUR SERVICES.
1. Acceptance of Terms
1.1 By creating an account and/or using any part of our Services, you (“User”, “you”, or “your”) agree to comply with and be legally bound by these Terms.
1.2 These Terms constitute a binding contract between you and HUB4AI S.R.L regarding your use of the Services.
2. Definitions
2.1 “Services” refers to all software solutions provided by HUB4AI S.R.L, including:
a. Chat – a chat interface powered by various AI language models.
b. AI Researcher – a tool to research various topics using an AI language model.
c. Memory Box – a document storage solution with AI integration for data analysis.
d. Office Add-ins – integrations for Microsoft Word, Excel, PowerPoint, and Outlook.
2.2 “User Data” includes any information, conversations, documents, and interactions you generate through our Services.
3. User Registration, Authentication, and Account Security
3.1 Registration is required to access certain functionalities. You must provide accurate and current information during registration.
3.2 Authentication for the Services is conducted via your Microsoft account. By using this authentication method, you agree to the authentication provider’s terms and conditions as well as our Terms.
3.3 You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
4. Payment and Billing
4.1 Our Services are provided based on a subscription or usage-based model, as may be applicable.
4.2 Payment is facilitated by Stripe. We do not store your credit card or payment information on our servers.
4.3 All payments are subject to Stripe’s terms, and you authorize us to process charges in accordance with those terms.
5. User Data, Privacy, and Analytics
5.1 Data Collection and Storage
a. HUB4AI stores the conversations and interactions made by you through our Services on our servers. Our primary data storage is located in the European Union (EU); however, data may be transferred to and stored on servers in the United States when necessary for hosting or processing purposes.
b. No person manually reviews your stored content in order to protect your privacy, and all data is subject to strict internal access controls.
5.2 Data Usage
a. We do not sell your data, conversations, or interactions to any third party.
b. Data may be used internally to improve our Services or as required by law.
5.3 Frontend Analytics
a. We use Microsoft Clarity for frontend analytics to better understand user interactions and improve the user experience.
b. The usage of Microsoft Clarity is governed by Microsoft’s privacy policies and is further subject to our internal privacy practices.
6. Permitted Use and Acceptable Behavior
6.1 You agree to use the Services in compliance with all applicable laws and regulations.
6.2 You shall not misuse or abuse the Services, including engaging in any conduct that could damage, disable, or impair the functionality of the Services or infringe on the rights of any third party.
6.3 You are responsible for ensuring that any interactions with the AI tools comply with your local legal and ethical standards.
7. Intellectual Property Rights
7.1 All content, features, and functionalities of the Services, including but not limited to software code, designs, graphics, and documents, are owned by HUB4AI S.R.L or its licensors and are protected by intellectual property laws.
7.2 You are granted a non-exclusive, non-transferable, revocable license to use the Services solely for your internal business or personal purposes, subject to your compliance with these Terms.
8. Third-Party Services and Integrations
8.1 Our Services may integrate with or utilize third-party services (e.g., Stripe for payments, Microsoft Clarity for analytics, Microsoft authentication).
8.2 Use of these third-party services is subject to the respective terms and conditions and privacy policies of those providers.
8.3 HUB4AI is not responsible for any actions or inactions of these third parties.
9. Disclaimer of Warranties
9.1 THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. HUB4AI DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
9.2 WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY SECURITY ERRORS OR DEFECTS WILL BE CORRECTED.
10. Limitation of Liability
10.1 TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HUB4AI S.R.L SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, OR USE, INCURRED BY YOU WHETHER IN AN ACTION IN CONTRACT OR TORT, ARISING FROM YOUR ACCESS TO OR USE OF THE SERVICES.
10.2 OUR AGGREGATE LIABILITY EXCEEDS THE AMOUNT PAID BY YOU FOR THE SERVICE (IF ANY) AND SHALL NOT EXCEED SUCH AMOUNT.
11. Modifications to the Terms and the Services
11.1 HUB4AI reserves the right to modify or update these Terms at any time. We will notify you of any significant changes via email or through the Services.
11.2 Your continued use of the Services following any changes constitutes your acceptance of the new Terms.
12. Governing Law and Dispute Resolution
12.1 These Terms shall be governed by and construed in accordance with the laws of the European Union and any applicable local legislation where HUB4AI operates, without giving effect to any principles that may require the application of the laws of a different jurisdiction.
12.2 Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration or in competent courts located in the appropriate jurisdiction, as agreed by the parties.
13. Termination
13.1 HUB4AI reserves the right to suspend or terminate your access to the Services immediately, without notice, for any conduct that violates these Terms or is deemed harmful to other users or the integrity of the Services.
13.2 Upon termination, your license to use the Services will immediately cease and you shall cease all use thereof.
14. Severability and Entire Agreement
14.1 If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions of these Terms will remain in full force and effect.
14.2 These Terms constitute the entire agreement between you and HUB4AI regarding your use of the Services and supersede any prior agreements or understandings.
